Agreement to Terms

By accessing and using Occam's Model ("we," "our," or "us"), operated by Occam's Model, Inc., a Delaware corporation, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our service.

Occam's Model is a freemium financial planning platform. Our three subscription tiers each offer generous free features with optional paid upgrades:

• Blueprint: Design a comprehensive financial model for a new business idea
• Playbook: Diagnose and optimize the financial health of an existing business
• Serial: Access both Blueprint and Playbook in a single subscription

Age Requirement: You must be at least 16 years old to create an account and use our service.

Description of Service

Occam's Model is a freemium platform — each tier offers substantial free features with optional paid upgrades that unlock full access. Our tiers provide:

Blueprint — For Aspiring Entrepreneurs

• Personal Financial Audit: Conduct a personal audit and calculate your Freedom Number — the additional monthly income needed to reach your financial goals
• Business Modeling: Create a 24-month forecast for new business ideas across all industries
• Personal & Business Integration: Assess when your business model will deliver your Freedom Number
• Tax Calculations: Multi-jurisdiction tax calculations for comprehensive planning

Playbook — For Existing Business Owners

• Financial Diagnostic: 9-step intake covering revenue through after-tax cash flow
• Benchmarking Scorecard: AI-graded performance assessment across key business dimensions
• AI Plays: Scenario modeling plays to optimize your weakest metrics (marketing efficiency, COGS, pricing, and more)

Serial — For Serial Entrepreneurs

• Full access to both Blueprint and Playbook in a single subscription

Shared Features (All Tiers)

Subscription Terms

• Blueprint: $14/month or $99/year — 200 AI credits/month or 1,600 credits/year
• Playbook: $29/month or $199/year — 400 AI credits/month or 3,000 credits/year
• Serial: $39/month or $280/year — 600 AI credits/month or 5,000 credits/year
• Automatic renewal on anniversary date (monthly or annual) unless canceled
• Cancel anytime — access continues through current paid period
• No refunds for mid-period cancellations (you keep access until period ends)

AI Credits Policy

• AI credits automatically expire 365 days after grant date
• Blueprint: 200 credits/month (monthly) or 1,600 credits/year (annual)
• Playbook: 400 credits/month (monthly) or 3,000 credits/year (annual)
• Serial: 600 credits/month (monthly) or 5,000 credits/year (annual)
• Add-on credits (50 for $10) expire 365 days after purchase
• No refunds for unused or expired credits
• No grace period or extensions (contact support for special circumstances; reviewed case-by-case)
• Credits are non-transferable and cannot be shared between accounts
• Each credit cohort (monthly grant or purchase) has independent 365-day expiration from its grant date
• Multiple credit cohorts can coexist with independent expiration dates

Expert Video Consultation ($199)

What's Included:

• 45-minute one-on-one video consultation with one of our experts
• Review of your Blueprint or Playbook model and strategic guidance
• Answers to questions about using the platform and interpreting results
• Personalized feedback on your business model assumptions

Scheduling Terms:

• Use the contact form within your account to request consultation scheduling
• We will coordinate via email to find a mutually convenient time
• Sessions must be scheduled and used within 30 days of purchase
• One-time purchase: Not a subscription

Expert Email Support ($99/month)

What's Included:

• Ongoing email support with our experts
• M-F business days, 2 business day response time
• Strategic guidance on your business model development
• Platform usage assistance and troubleshooting

Support Terms:

• Monthly recurring subscription at $99/month
• Cancel anytime — access continues through current paid month
• Support is for reasonable assistance; we reserve the right to decline excessive or inappropriate requests
• Requires any active subscription (Blueprint, Playbook, or Serial)

What Expert Support Does NOT Include

• Tax preparation or filing services
• Legal advice or entity formation guidance
• Certified financial planning or investment advice
• Direct client work or deliverables for your business
• Unlimited or after-hours support
• Guaranteed response times faster than 2 business days

Single User License

• All purchases are licensed for individual, non-commercial use only
• One account per person—sharing login credentials is prohibited
• Consultants/advisors: Cannot share account access with clients
• Business/commercial use: Contact enterprise@occamsmodel.com for enterprise licensing

Payment Processing

• Payments processed securely through Stripe
• Initial subscription charge occurs immediately upon signup
• Annual renewal charges occur automatically on your subscription anniversary date
• You will receive an email receipt for all subscription payments
• You are responsible for all taxes associated with your subscription
• Failed payment attempts may result in subscription suspension or cancellation

Refund and Cancellation Policy

Initial Subscription Refunds

• Full refund available within 7 days of initial subscription purchase
• No questions asked—we want you to feel confident trying our service
• Simple refund process via email to support@occamsmodel.com
• Refunds processed within 5-10 business days
• Available for first-time subscriptions only (Blueprint, Playbook, or Serial)

Subscription Cancellation

• Cancel anytime through your account settings
• No cancellation fees or penalties
• Access continues through the end of your current paid period
• No refunds for mid-period cancellations (you keep access until period ends)
• Unused AI credits expire at end of subscription period
• Subscription will not renew after current period expires

How to Cancel Your Subscription

You can cancel your subscription at any time:

• Visit your Account Settings
• Click "Cancel Subscription" under your subscription details
• Or email support@occamsmodel.com

After the 7-Day Window

After 7 days from initial subscription, no refunds are provided for:

• Mid-period cancellations (you keep access until period ends)
• Unused AI credits or features
• Renewal charges (cancel before renewal date to avoid charges)

Refunds beyond the 7-day window may be issued only for:

• Technical error preventing access to subscription features
• Duplicate charges due to payment processing error
• Unauthorized transaction (with proof)
• As required by applicable law in your jurisdiction

Effect of Cancellation or Refund

When a subscription is canceled or refunded:

• Cancellation: Access continues until end of current paid period; after that, your account reverts to the free tier
• Refund: Subscription access is immediately revoked and your account reverts to the free tier
• Unused AI credits are removed
• Expert support access is terminated
• On the free tier you retain access to your account and free-tier features, but lose access to all Blueprints and Playbook plays

Subscription Acknowledgment

By subscribing to any paid tier (Blueprint, Playbook, or Serial), you acknowledge and agree that:

• You understand this is a recurring subscription — Blueprint ($14/month or $99/year), Playbook ($29/month or $199/year), or Serial ($39/month or $280/year)
• Your subscription will automatically renew (monthly or annually) unless canceled
• You can cancel anytime — access continues through the current paid period
• AI credits expire 365 days after grant date; credit amounts vary by tier (Blueprint: 200/month or 1,600/year; Playbook: 400/month or 3,000/year; Serial: 600/month or 5,000/year); Expert video sessions and email support have separate terms
• Each credit cohort (monthly grant or purchase) has independent 365-day expiration from its grant date
• You agree to our refund and cancellation policy
• Add-on products (credits, support) require any active subscription to function
• You have read and accept our Privacy Policy
• You have read and accept all Terms of Service stated herein

User Responsibilities

Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized access at support@occamsmodel.com
• You are responsible for all activities under your account

Data Accuracy

• You are responsible for providing accurate financial information
• You must update your information when it changes
• Inaccurate data will affect the reliability of our calculations

Acceptable Use

• Use the service only for lawful purposes
• Do not attempt to breach security or interfere with the service
• Do not use automated tools to access the service without permission
• Account Sharing Prohibited: Your account is for your personal use only. You may not:
  • Share your login credentials with others
  • Allow clients, students, or third parties to access your account
  • Use one account to serve multiple businesses or individuals
  • Create models or reports on behalf of others using your account
• Commercial Use Restrictions: You may not:
  • Use Occam's Model to provide consulting services to clients without separate licensing
  • Resell, redistribute, or white-label our service
  • Use our tools as part of a paid service offering without authorization

Accessible Financial Intelligence

Tax Calculation Accuracy

• Tax calculations are estimates for planning purposes only
• Not a substitute for professional tax preparation or filing services
• You are responsible for actual tax compliance and filing
• Calculations based on current tax regulations; we update algorithms on a best-effort basis
• Tax laws change frequently and vary by jurisdiction
• Results may vary with individual circumstances and interpretations

Important Considerations

• For highly complex situations, professional consultation may provide additional value to complement these insights
• Results are estimates that depend on the accuracy of data you provide
• Inaccurate or incomplete input data will affect calculation reliability

Not Financial, Tax, or Legal Advice

What We Do NOT Provide

• Financial Advice: We do not provide personalized investment recommendations or portfolio management
• Tax Advice: We do not prepare tax returns, provide tax planning advice, or represent you before tax authorities
• Legal Advice: We do not provide legal counsel, entity formation advice, or contract review
• Certified Financial Planning: Our service is not a substitute for a licensed financial advisor, CPA, or attorney

Your Responsibility

• You are solely responsible for all financial, business, and legal decisions you make
• You should consult licensed professionals (financial advisors, CPAs, attorneys) before making major financial decisions
• Our calculations and projections are estimates—not guarantees
• You use our service at your own risk
• We are not liable for financial losses resulting from decisions based on our tools or calculations

Intellectual Property and Trade Secrets

Our Proprietary Technology

The software, website design, user interface, original text content, and specific implementation of Occam's Model are owned by us and protected by intellectual property laws. Mathematical formulas, standard financial calculations, and general financial concepts remain in the public domain.

Prohibited Activities

To protect our intellectual property and trade secrets, you agree not to:

• Reverse Engineering: Reverse engineer, decompile, or attempt to extract our proprietary algorithms
• Data Scraping: Use automated tools to collect data or screen scrape our service
• API Abuse: Make excessive or unauthorized API requests for competitive intelligence
• Calculation Replication: Attempt to replicate our proprietary calculation methodologies
• Commercial Use: Use our service or data for competing financial planning services

Your Data

You retain ownership of the financial data you provide. By using our service, you grant us a limited license to use your data solely to provide our services, as described in our Privacy Policy.

Feedback and Ideas

If you provide feedback, suggestions, ideas, or feature requests ("Feedback") to us:

• We may use your Feedback without restriction or compensation to you
• You grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate Feedback into our service
• You waive any claims of ownership or compensation for Feedback we implement

Service Availability and Modifications

Service Availability

• We strive to maintain service availability but do not guarantee uninterrupted access
• We may perform maintenance, updates, or modifications that temporarily affect service
• We may suspend accounts that violate these terms

Service Modifications and Discontinuation

• We reserve the right to modify, discontinue, or materially change features with 30 days' notice
• Notice will be provided via email to your registered address and/or prominent in-app notification
• If we discontinue any subscription tier (Blueprint, Playbook, or Serial) or materially modify subscription features:
  • You will have 30 days to download or export your data
  • We will provide reasonable assistance with data export during this period
  • Active subscribers may receive pro-rated refunds at our discretion
  • No automatic renewals will occur after discontinuation notice
• Minor updates, bug fixes, and improvements may be made without notice

Force Majeure

We are not liable for service interruptions or failures resulting from circumstances beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, or severe weather events
• Third-party service failures (hosting providers, payment processors, API services)
• Network outages, cyberattacks, or infrastructure failures
• Government actions, labor disputes, or other force majeure events
• Dependencies on third-party AI/LLM services (Google Gemini, etc.)

Limitation of Liability

Indemnification

You agree to indemnify, defend, and hold harmless Occam's Model, its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your violation of these Terms of Service
• Your violation of any law, regulation, or third-party rights
• Your use or misuse of the service
• Your breach of the single-user license or account sharing prohibitions
• Unauthorized commercial use of our service
• Financial or business decisions you make based on our tools or calculations
• Any content you submit or transmit through the service
• Your negligence or willful misconduct

This indemnification obligation will survive termination of your account and these Terms of Service.

Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these terms by reference.

Data Security

• We implement industry-standard security measures
• We encrypt sensitive data in transit and at rest
• We do not store banking credentials or Social Security Numbers
• You can delete your account and data at any time

Termination

You may terminate your account at any time by deleting it through your account settings or contacting us.

By Us

Effect of Termination

Upon termination, your access to the service will cease, and your data will be deleted according to our Privacy Policy.

Changes to Terms

We may update these Terms of Service from time to time. We will notify you of significant changes via:

Continued use of the service after changes constitutes acceptance of the new terms.

Governing Law and Dispute Resolution

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Mandatory Arbitration Agreement

Except as provided below, any dispute, controversy, or claim arising out of or relating to these Terms of Service or our service (including any alleged breach) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration Procedures

• Arbitration will be conducted by a single arbitrator
• The arbitration will be held in Delaware or remotely via videoconference
• The arbitrator's decision will be final and binding
• Each party will bear its own costs and attorneys' fees unless the arbitrator awards them
• The arbitrator may award the same damages and relief as a court, but only to the individual party

Class Action Waiver

YOU AND OCCAM'S MODEL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

• No class arbitrations or class actions are permitted
• Claims may not be consolidated with claims of other users
• You waive the right to participate in a class action against us

Small Claims Court Exception

Either party may bring an individual action in small claims court if the claim qualifies and remains in small claims court. This provides an accessible option for resolving smaller disputes.

Severability

If any provision of this arbitration agreement is found unenforceable, the remainder shall remain in full force and effect. If the class action waiver is found unenforceable, the entire arbitration agreement shall be void, and the dispute shall be resolved in court.

Export Controls and Compliance

By using Occam's Model, you represent and warrant that:

• You are not located in, or a resident or national of, any country subject to U.S. government embargo or designated as a "terrorist supporting" country
• You are not listed on any U.S. government list of prohibited or restricted parties
• You will comply with all applicable export control and sanctions laws and regulations
• You will not use the service for any purpose prohibited by U.S. law

Severability and Entire Agreement

Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction:

• The remaining provisions will remain in full force and effect
• The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable
• If modification is not possible, the provision will be severed from these Terms

Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Occam's Model regarding use of the service and supersede all prior agreements and understandings.
